Terms & Conditions of the Coach - Coachee Relationship
Responsibilities
The Coachee understands and agrees that in order to enhance and maximize the coaching relationship, they must communicate honestly, be open to feedback and assistance and create the time and energy to participate fully in the relationship.
The Coachee is solely responsible for creating and implementing their own physical, mental and emotional well-being, decisions, choices, actions and results.
The Coachee acknowledges and agrees that Coach shall not be liable or responsible for any action or inaction, or for any direct or indirect result of the coaching services provided by the Coach.
The Coachee acknowledges that coaching is not therapy and should not be used as a substitute for therapy, and does not prevent, cure, or treat any mental disorder or mental disease. It is the Coachee’s exclusive responsibility to seek such independent professional assistance if needed. If the Coachee is currently under the care of a mental health professional, the Coach will strongly recommend that the Coachee promptly informs the mental health care provider of the nature of the coaching relationship.
Confidentiality
The coaching relationship, including all information, both oral and in writing, that the Coachee shares with the Coach, as part of the coaching relationship, is confidential in nature.
The Coach will not disclose any information pertaining to the Coachee, without the Coachee’s written permission, unless required by law.
Confidential information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Coachee; (b) is generally known to the public or in the Coachee’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Coachee; (d) is independently developed by the Coach without use of or reference to the the Coachee’s confidential information; or (e) the Coach is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Coachee or others; and (g) involves illegal activity.
Scheduling and Cancellation Policy
The Coach and Coachee will jointly identify meeting times. For video conferencing sessions, a link to a web-based online session will be provided in advance.
The Coach will welcome calls or emails from the Coachee in between scheduled sessions, to share a success or if the Coachee is in need of quick feedback.
The time spent together by the Coachee and the Coach is important. The Coachee agrees to be present for the coaching appointments at the scheduled time, otherwise:
- The Coachee agrees to notify the Coach at least 24 hours in advance for any change or cancellation of a session.
- If the Coachee does not provide notice, the Coach will deduct the session from the program allotment.
- Late arrivals of less than 15 minutes will shorten the Coachee’s appointment time and will not be made up by running into the next client’s scheduled appointment.
- If the Coachee is more than 15 minutes late for a session, the Coach will consider the session cancelled and the time will be deducted from the program allotment.
- Cancellation of more than two sessions, without notice, may result in the program being terminated without refund or credit of any associated fees.
Intellectual Property
- The intellectual property and all other proprietary rights contained within, pertaining to or attached to each form of content provided by Clear Concept Inc. shall at all times remain the exclusive property of Clear Concept Inc., with all rights, inclusive of those rights non-exclusively granted, retained by Clear Concept Inc.
- Clear Concept Inc. represents, and warrants that it has, and shall maintain, all rights and authorizations required for Clear Concept Inc. to perform its obligations and will not infringe upon any intellectual property rights of a third party.
- Clear Concept Inc. reserves the right to withdraw any licence or rights.
Limited Liability
- Clear Concept Inc. or the Coach shall not be liable for damages of any kind resulting from errors or omissions in the training materials, nor shall Clear Concept Inc. be liable for any damages resulting from the use of the training materials or other information conveyed during a coaching program.
- Clear Concept Inc. makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services, agreed upon and rendered. In no event shall Clear Concept Inc. or the Coach be liable to the Coachee for any indirect, consequential, or special damages. Notwithstanding any damages that the Coachee may incur, Clear Concept Inc.’s entire liability and the Coachee’s exclusive remedy shall be limited to the amount actually paid by the Coachee to Clear Concept Inc. for all coaching services rendered through and including the termination of the coaching program.
Video Reproduction
The Coachee agrees not to record and/or reproduce any versions of the training or content without the prior written consent of Clear Concept Inc.
